1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and SLV Group Sdn. Bhd. (Company No. to be advised) ("Company", "we", "us") governing your use of the CoSec OS platform accessible at csos.my and related services ("Platform").

By registering an account, clicking "I agree", or using any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using CoSec OS on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

2. Eligibility

To use CoSec OS you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding contracts under Malaysian law
• Not be prohibited from using the Platform under applicable laws
• Provide accurate and complete registration information

CoSec OS is designed for use within Malaysia and is governed by Malaysian law. Users outside Malaysia use the Platform at their own risk and are responsible for compliance with their local laws.

3. Description of Services

CoSec OS provides the following services ("Services"):

• AI Draft Engine — Generation of board resolution drafts using AI, based on company data provided by the user, referenced to the Companies Act 2016 (CA2016)
• Document Vault — Secure storage of generated and uploaded corporate documents
• Compliance Calendar — Tracking of CA2016 statutory filing deadlines
• Review Marketplace — Connection of businesses with licensed Company Secretaries for professional review and certification of documents
• Signing Workflow — Management of the document signing and hard copy tracking process
• XBRL Export — Generation of XBRL-formatted Annual Return data for SSM MBRS filing
• Register of Members — Share register and shareholder management tools

4. User Accounts

4.1 Registration

You must register an account to use CoSec OS. You agree to provide accurate, current, and complete information and to keep your account information updated.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must immediately notify us at support@csos.my if you suspect unauthorised access to your account. We are not liable for losses arising from unauthorised use of your account due to your failure to maintain security.

• All prices are in Malaysian Ringgit (RM) and inclusive of SST where applicable
• Payments are processed via Billplz (FPX online banking) or credit/debit card
• Monthly and annual subscriptions are billed in advance
• Credits do not expire once purchased
• We reserve the right to change pricing with 30 days' notice to existing subscribers

5.3 Refund Policy

• Credits: Non-refundable once purchased, except where required by law
• Monthly plans: No refund for partial months. You may cancel at any time and access continues until the end of the billing period
• Annual plans: Pro-rated refund available within 14 days of purchase if no more than 2 drafts have been generated
• Review fees: Non-refundable once a CoSec has started reviewing your document

6. AI-Generated Content — Important Disclaimers

You expressly acknowledge and agree that:

• AI-generated board resolutions are draft documents only and have not been reviewed, approved, or certified by a licensed Company Secretary
• AI drafts must be reviewed by a licensed Company Secretary (registered with SSM under the Companies Commission of Malaysia Act 2001) before being executed, filed with SSM, or relied upon for any legal or commercial purpose
• AI-generated content may contain errors, omissions, or inaccuracies. We do not warrant that AI output is accurate, complete, current, or suitable for your specific circumstances
• CA2016 is a complex and evolving statute. The AI prompt is updated periodically but may not always reflect the latest legislative amendments, SSM practice notes, or court decisions
• You are solely responsible for verifying that any resolution generated complies with CA2016, your company's constitution, and all applicable laws before execution
• SLV Group Sdn. Bhd. is a technology company and is not a licensed CoSec firm. Use of CoSec OS does not create a solicitor-client, CoSec-client, or any other professional relationship

7. CoSec Firm Users (Review Marketplace)

CoSec firms and their associates using the platform agree that:

• They are licensed Company Secretaries registered with SSM and in good standing
• They take full professional responsibility for any document they review, certify, or approve through the platform
• They will not use AI-generated drafts as certified documents without independent professional review
• The Review Marketplace connects firms with clients — SLV Group is not a party to the CoSec-client relationship and is not responsible for the quality of professional services provided by CoSec firms
• Platform commission (currently 20%) will be deducted from review fees before payment to the firm

8. Acceptable Use

You agree not to use CoSec OS to:

• Generate false, fraudulent, or misleading corporate documents
• Impersonate any company, director, or other person
• File or attempt to file AI-generated drafts with SSM without licensed CoSec review and certification
• Upload malicious files or attempt to compromise the platform's security
• Scrape, copy, or reverse-engineer the platform or its AI prompts
• Resell or sublicense access to the platform without written permission
• Use the platform for any unlawful purpose under Malaysian law
• Violate any third party's intellectual property, privacy, or other rights

9. Intellectual Property

9.1 Our Property

The CoSec OS platform, including its design, code, AI prompts, and branding, is owned by SLV Group Sdn. Bhd. and protected by Malaysian copyright and intellectual property law. You may not copy, modify, or distribute any part of the platform without written permission.

9.2 Your Content

You retain ownership of your company data and documents. By using CoSec OS, you grant SLV Group a limited licence to process and store your content solely for the purpose of providing the Services to you.

9.3 AI-Generated Documents

AI-generated board resolution drafts are provided to you for your use. We do not claim ownership of the text generated for you, subject to Section 6 disclaimers.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law:

• SLV Group Sdn. Bhd. is not liable for any loss, penalty, fine, or damage arising from your reliance on AI-generated documents without licensed CoSec review
• Our total liability to you in any 12-month period shall not exceed the total fees paid by you to us in that period
• We are not liable for indirect, consequential, or punitive damages, loss of profits, or loss of data
• We are not liable for the acts or omissions of CoSec firms using the platform
• We are not liable for SSM penalties, late filing fees, or other regulatory consequences arising from your use or misuse of the platform

11. Indemnification

You agree to indemnify and hold harmless SLV Group Sdn. Bhd., its directors, employees, and agents from any claims, losses, damages, or expenses (including legal fees) arising from: (a) your breach of these Terms; (b) your misuse of AI-generated content; (c) your violation of applicable law; or (d) any third-party claim arising from your use of the platform.

12. Termination

12.1 By You

You may close your account at any time by contacting support@csos.my. Upon closure, your data will be retained for the periods specified in our Privacy Policy.

12.2 By Us

We may suspend or terminate your account immediately if you: breach these Terms; use the platform for fraudulent or illegal purposes; or fail to pay amounts due. We may terminate the platform with 30 days' notice to all users.

13. Governing Law and Disputes

These Terms are governed by the laws of Malaysia. Any dispute arising from these Terms or your use of CoSec OS shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Before initiating legal proceedings, you agree to attempt to resolve disputes by contacting us at legal@slvgroup.com.my. We will endeavour to resolve disputes within 30 days.

14. Changes to Terms

We may update these Terms from time to time. We will notify registered users by email at least 14 days before material changes take effect. Your continued use of CoSec OS after the effective date constitutes acceptance. If you do not agree with changes, you may close your account before they take effect.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SLV Group Sdn. Bhd. regarding your use of CoSec OS and supersede all prior agreements.
